Advertiser Terms of Service

1. Introduction

These Advertiser Terms of Service ("Terms") govern your access to and use of the WilDi Maps advertiser dashboard, campaign creation tools, promotional services, and related offerings provided by WilDi Maps, Inc. ("WilDi," "we," "our," or "us"). By creating an advertiser account, submitting a campaign, funding a campaign budget, or otherwise accessing advertiser services, you agree to be bound by these Terms.

2. Account Eligibility

To use the WilDi Maps advertiser platform, you must:

  • Be a registered business or an authorized representative of one.
  • Provide accurate contact, business, and billing information.
  • Maintain an active payment method with our payment processor (Stripe).
  • Agree that WilDi may request verification of business identity or authority.

WilDi may approve, deny, suspend, or terminate advertiser accounts at any time.

3. Hybrid Onboarding

WilDi supports both:

  • Self-serve advertisers who create and manage campaigns independently, and
  • Sales-assisted advertisers who receive support from WilDi personnel to configure campaigns or creatives.

These Terms apply equally to both onboarding paths.

4. Campaign Creation

Advertisers must define the following at campaign creation:

  • Monthly campaign budget (required)
  • Targeting via zones, tunnels, and background message coverage areas
  • Creative assets or instructions for WilDi-produced creatives
  • Campaign timing (start/end dates)

All campaigns are reviewed for compliance with the Ad Content Standards & Restrictions Policy. WilDi may reject or suspend any campaign at its discretion.

5. Campaign Budget & Billing (Upfront Payment Required)

  • Advertisers must set a monthly spend budget for each campaign.
  • Stripe collects the full campaign budget immediately upon submission.
  • This amount serves as the campaign's maximum target spend for the month.
  • WilDi will not exceed this amount without advertiser approval.
  • No refunds will be issued except where required by law.

Advertisers with consistently low budgets may be contacted for upsell recommendations.

6. Budget Utilization, Pacing & Variance

WilDi uses commercially reasonable efforts to deliver impressions in alignment with the advertiser's stated monthly budget. Actual spend may be slightly under or over the stated amount due to real-world driver activity, geo-density, competition, and message dynamics.

  • Underspend: Any remaining balance automatically rolls forward into the next campaign cycle.
  • Overspend: If delivery exceeds the monthly budget, the variance will be included in the advertiser's next Stripe charge.
  • No Guarantees: WilDi does not guarantee exact pacing, exact spend totals, or full budget utilization.

Pacing tools are not available during the pilot period and may be added later.

7. Creative Uploads & Intellectual Property

Advertiser-Provided Creatives

Advertiser represents and warrants that all submitted creatives:

  • Are legally owned or licensed by the advertiser,
  • Do not infringe copyright, trademark, publicity, or other rights,
  • Comply with all applicable advertising laws and regulations.

Advertiser grants WilDi a non-exclusive, worldwide, royalty-free license to use, store, modify (as needed for formatting), and deliver creatives solely for campaign execution.

WilDi-Created Creatives

When WilDi creates or modifies creatives:

  • Advertiser retains rights to original brand assets provided.
  • WilDi retains rights to any proprietary design elements it contributes.
  • Advertiser remains solely responsible for the final legality of all creatives.

8. Ad Content Standards & Restrictions

Advertisers must comply with the WilDi Maps Ad Content Standards & Restrictions Policy. This includes prohibitions on:

  • Political advertising of any kind
  • Sexually explicit or adult content
  • Escort services or adult services
  • Illegal drugs or federally restricted substances
  • Weapons, ammunition, explosives
  • Hate, harassment, discriminatory, or violent content
  • Fraudulent, deceptive, or unlawful advertising
  • Counterfeit goods or IP-infringing materials

WilDi may pause or remove any campaign for violations.

9. Data Access & Attribution

Advertisers will receive:

  • Aggregated impression counts
  • Aggregated interaction metrics
  • Anonymized footfall attribution totals (e.g., number of users who visited the advertiser's location after exposure)

Advertisers will not receive:

  • Personal data
  • Individual driver identities
  • Individual demographic data
  • Individual routes or behaviors

All data usage complies with the WilDi Maps Privacy Policy.

10. Campaign Delivery & Optimization

WilDi will:

  • Deliver impressions based on driver activity and geolocation overlap
  • Optimize delivery toward the campaign's budget goal

WilDi will not guarantee:

  • A minimum number of impressions
  • A minimum reach or frequency
  • Any specific business results
  • That the full budget will be used

All delivery is on an "as available" basis.

11. Prohibited Advertiser Actions

Advertisers may not:

  • Attempt to access individual user data
  • Reverse engineer or interfere with WilDi systems
  • Manipulate or inflate impression counts
  • Submit misleading or unlawful ad content
  • Circumvent billing or payment systems
  • Interfere with campaign pacing or optimization

12. Indemnification

Advertiser agrees to defend, indemnify, and hold harmless WilDi Maps, Inc., its officers, directors, employees, and agents from any claim, dispute, loss, damage, or expense arising from:

  • Advertiser-submitted ad content
  • Intellectual property infringement claims
  • Illegal, deceptive, or non-compliant advertisements
  • Violations of these Terms
  • Platform misuse or interference
  • Regulatory action triggered by advertiser behavior
  • Fraudulent or manipulated impressions
  • Business or customer disputes related to ad content

This indemnification survives account termination.

13. Limitation of Liability

To the maximum extent permitted by law:

  • WilDi is not liable for indirect, incidental, special, consequential, or punitive damages.
  • WilDi's total liability will not exceed the greater of:
    • $100, or
    • The total amount paid by the advertiser in the 60 days preceding the claim.

14. Suspension & Termination

WilDi may suspend or terminate accounts or campaigns for:

  • Ad content violations
  • Legal compliance issues
  • Fraud or manipulation
  • Payment disputes or chargebacks
  • Attempts to access restricted data

Underspent budgets follow rollover rules unless termination is due to fraud.

15. Governing Law, Arbitration & Class Action Waiver

All disputes shall be resolved by binding individual arbitration in Jacksonville, Florida, under Delaware law and governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16).

You and WilDi agree that:

  • Claims may be brought only in an individual capacity, not as a plaintiff or class member,
  • Class actions, collective actions, and representative actions are expressly waived,
  • The arbitrator has exclusive authority to determine arbitrability,
  • Both parties waive the right to a jury trial.

WilDi covers arbitration filing fees for claims under $10,000 unless the arbitrator finds the claim frivolous.

16. Entire Agreement

These Terms constitute the entire agreement between advertiser and WilDi Maps regarding use of advertiser services and supersede all prior understandings.
