Advertiser and Driver Terms

1. Introduction

These Advertiser Terms ("Advertiser Terms") govern your access to and use of the WilDi Maps advertiser dashboard, campaign creation tools, promotional services, and related offerings provided by WilDi Maps, Inc. ("WilDi," "we," "our," or "us"). By creating an advertiser account, submitting a campaign, funding a campaign budget, or otherwise accessing advertiser services, you agree to be bound by these Advertiser Terms.

2. Account Eligibility

To use the WilDi Maps advertiser platform, you must:

• Be a registered business or an authorized representative of one.
• Provide accurate contact, business, and billing information.
• Maintain an active payment method with our payment processor (Stripe).
• Agree that WilDi may request verification of business identity or authority.

WilDi may approve, deny, suspend, or terminate advertiser accounts at any time.

3. Hybrid Onboarding

WilDi supports both:

• Self-serve advertisers who create and manage campaigns independently, and
• Sales-assisted advertisers who receive support from WilDi personnel to configure campaigns or creatives.

These Terms apply equally to both onboarding paths.

4. Campaign Creation

Advertisers must define the following at campaign creation:

• Monthly campaign budget (required)
• Targeting via areas, streets, and city-wide coverage
• Creative assets or instructions for WilDi-produced creatives
• Campaign timing (start/end dates)

All campaigns are reviewed for compliance with the Ad Content Standards & Restrictions Policy. WilDi may reject or suspend any campaign at its discretion.

5. Campaign Budget & Billing

WilDi offers two ways to fund your ad budget:

• Monthly Auto-Refill: Set up automatic monthly payments that add to your balance on the 1st of each month.
• One-Time Add Funds: Make individual payments to add funds to your balance at any time.

Both funding sources share a single balance pool that rolls over indefinitely.

• WilDi will not exceed your stated budget without advertiser approval.
• No refunds will be issued for funds already added to your balance, except where expressly required by applicable law.
• First month proration: When setting up Auto-Refill, you may choose to pay a prorated amount for the remaining days in the current month.
• Pricing: All subscription fees, per-delivery rates, and other charges are billed at WilDi's then-current published rates, which may be updated under Section 16 (Modification of Terms). Updated rates apply immediately on the effective date to all deliveries and charges occurring on or after that date, including against prepaid balances.

Automatic Renewal & Recurring Charges

By subscribing to WilDi advertising services, you authorize WilDi to:

• Store your payment method for recurring charges via our payment processor (Stripe).
• Automatically charge your stored payment method on a monthly basis for your subscription fee and ad budget.
• Subscriptions renew automatically each month unless cancelled before the renewal date.

Payment Failures

If a recurring auto-refill payment fails:

• Your existing balance remains active. Ads continue to run using your remaining balance.
• No new funds will be added until the payment issue is resolved.
• WilDi may attempt to retry the payment or contact you to update your payment method.
• Continued payment failure may result in account suspension or termination.

Advertisers with consistently low budgets may be contacted for upsell recommendations.

6. Budget Utilization, Pacing & Rollover

WilDi uses commercially reasonable efforts to deliver impressions in alignment with the advertiser's stated monthly budget. Actual spend may be slightly under the stated amount due to real-world driver activity, geo-density, competition, and message dynamics.

• Budget Rollover: Any unspent ad budget at the end of a billing cycle rolls over to the next cycle. Your balance never expires while your account is in good standing.
• Budget Pacing: WilDi employs automated pacing to distribute ad delivery throughout the billing cycle. This pacing is not guaranteed to be uniform and may vary based on driver availability.
• No Guarantees: WilDi does not guarantee exact pacing, exact spend totals, full budget utilization, or any minimum number of impressions.
• Budget Cap: WilDi will not exceed the advertiser's stated monthly budget without explicit approval.

Advertisers may add additional funds ("Add Funds") to their budget at any time. Added funds also roll over and never expire while the account is active.

7. Creative Uploads & Intellectual Property

Advertiser-Provided Creatives

Advertiser represents and warrants that all submitted creatives:

• Are legally owned or licensed by the advertiser,
• Do not infringe copyright, trademark, publicity, or other rights,
• Comply with all applicable advertising laws and regulations.

Advertiser grants WilDi a non-exclusive, worldwide, royalty-free license to use, store, modify (as needed for formatting), and deliver creatives solely for campaign execution.

WilDi-Created Creatives

When WilDi creates or modifies creatives:

• Advertiser retains rights to original brand assets provided.
• WilDi retains rights to any proprietary design elements it contributes.
• Advertiser remains solely responsible for the final legality of all creatives.

8. Ad Content Standards & Restrictions

Advertisers must comply with the WilDi Maps Ad Content Standards & Restrictions Policy. This includes prohibitions on:

• Political advertising of any kind
• Sexually explicit or adult content
• Escort services or adult services
• Illegal drugs or federally restricted substances
• Weapons, ammunition, explosives
• Hate, harassment, discriminatory, or violent content
• Fraudulent, deceptive, or unlawful advertising
• Counterfeit goods or IP-infringing materials

WilDi may pause or remove any campaign for violations.

9. Data Access & Attribution

Advertisers will receive:

• Aggregated impression counts
• Aggregated interaction metrics
• Anonymized footfall attribution totals (e.g., number of users who visited the advertiser's location after exposure)

Advertisers will not receive:

• Personal data
• Individual driver identities
• Individual demographic data
• Individual routes or behaviors

All data usage complies with the WilDi Maps Privacy Policy.

10. Campaign Delivery & Optimization

WilDi will:

• Deliver impressions based on driver activity and geolocation overlap
• Optimize delivery toward the campaign's budget goal

WilDi will not guarantee:

• A minimum number of impressions
• A minimum reach or frequency
• Any specific business results
• That the full budget will be used

All delivery is on an "as available" basis.

11. Prohibited Advertiser Actions

Advertisers may not:

• Attempt to access individual user data
• Reverse engineer or interfere with WilDi systems
• Manipulate or inflate impression counts
• Submit misleading or unlawful ad content
• Circumvent billing or payment systems
• Interfere with campaign pacing or optimization

12. Indemnification

Advertiser agrees to defend, indemnify, and hold harmless WilDi Maps, Inc., its officers, directors, employees, and agents from any claim, dispute, loss, damage, or expense arising from:

• Advertiser-submitted ad content
• Intellectual property infringement claims
• Illegal, deceptive, or non-compliant advertisements
• Violations of these Terms
• Platform misuse or interference
• Regulatory action triggered by advertiser behavior
• Fraudulent or manipulated impressions
• Business or customer disputes related to ad content

This indemnification survives account termination.

13. Limitation of Liability

To the maximum extent permitted by law:

• WilDi is not liable for indirect, incidental, special, consequential, or punitive damages.
• WilDi's total liability will not exceed the greater of:
  • $100, or
  • The total amount paid by the advertiser in the 60 days preceding the claim.

14. Cancellation, Suspension & Termination

Advertiser-Initiated Cancellation

Advertisers may cancel their auto-refill subscription at any time through the dashboard. Upon cancellation:

• Auto-refill stops immediately. No further monthly charges will be made.
• Your remaining balance stays active. Any existing ad budget continues to deliver ads until depleted.
• No refunds will be issued for any amounts already charged or added to your balance.
• Balance forfeiture: If you fully close your account (not just cancel auto-refill), any unspent ad budget will be forfeited.

WilDi-Initiated Suspension or Termination

WilDi may suspend or terminate accounts or campaigns at any time for:

• Ad content violations
• Legal compliance issues
• Fraud, manipulation, or abuse
• Payment failures, disputes, or chargebacks
• Attempts to access restricted data or systems
• Any other violation of these Terms

In the event of WilDi-initiated termination, no refunds will be provided. Any remaining ad budget is forfeited.

15. Governing Law, Arbitration & Class Action Waiver

All disputes shall be resolved by binding individual arbitration in Jacksonville, Florida, under Delaware law and governed by the Federal Arbitration Act (9 U.S.C. §§ 1–16).

You and WilDi agree that:

• Claims may be brought only in an individual capacity, not as a plaintiff or class member,
• Class actions, collective actions, and representative actions are expressly waived,
• The arbitrator has exclusive authority to determine arbitrability,
• Both parties waive the right to a jury trial.

WilDi covers arbitration filing fees for claims under $10,000 unless the arbitrator finds the claim frivolous.

16. Modification of Terms

WilDi Maps may update these Advertiser Terms — including subscription fees, per-delivery rates, the published rate schedule, and any other pricing or policy — at any time and at its sole discretion. Updates will be communicated by posting the revised Advertiser Terms at this URL, by in-dashboard notice, or by email to the address on file for your account, and the version number and effective date above will be updated to reflect the change.

Updated pricing and updated terms take effect immediately on the stated effective date. Updated rates apply to all deliveries, charges, and renewals occurring on or after the effective date, including against any prepaid balance funded prior to the change. Prior versions of these Terms do not lock in any particular rate, fee, or balance value.

Your continued use of the advertiser platform, continued running of any campaign, continued maintenance of a prepaid balance, or continued auto-refill enrollment after the effective date of a change constitutes your acceptance of the updated Advertiser Terms and the updated pricing. If you do not agree to a change, your sole remedy is to cancel auto-refill and stop using the advertiser platform; the no-refund provisions in Sections 5 and 14 continue to apply.

17. Entire Agreement

These Terms constitute the entire agreement between advertiser and WilDi Maps regarding use of advertiser services and supersede all prior understandings.

D1. Introduction & Scope

These Driver Terms ("Driver Terms") govern the use of the WilDi Maps driver mobile application (the "Driver App") by individuals who voluntarily download and use the Driver App to receive geo-triggered advertising events and earn passive income. By creating a driver account, completing phone or email authentication, enabling location services for the Driver App, or otherwise using the Driver App, you agree to be bound by these Driver Terms. If you do not agree, you must not use the Driver App.

D2. Eligibility

To use the Driver App, you must:

• Be at least 18 years of age
• Hold a valid driver's license issued by the jurisdiction in which you operate a vehicle
• Maintain valid vehicle registration and any insurance required by law in the jurisdiction in which you operate a vehicle
• Be legally permitted to receive payments in your jurisdiction
• Not be subject to a prior WilDi Maps suspension or termination that bars you from using the Driver App

D3. Voluntary Participation; No Employment Relationship

Use of the Driver App is entirely voluntary. WilDi Maps does not employ you, retain you as an independent contractor, dispatch you, schedule you, supervise you, or direct when, where, how, or whether you drive. Downloading, installing, or using the Driver App does not create any employment, agency, partnership, joint venture, franchise, or independent-contractor relationship between you and WilDi Maps.

You participate on your own volition, choose your own routes, hours, vehicle, and destinations, and may stop participating at any time, for any reason, without notice or penalty. Nothing in these Driver Terms shall be construed to create any obligation on your part to drive, to remain available, or to perform any service for WilDi Maps or any advertiser.

D4. Driver Safety & Lawful Operation

You are solely responsible for your compliance with all applicable federal, state, and local laws, including all motor vehicle, traffic, licensing, registration, insurance, and distracted-driving laws of the jurisdictions in which you operate. WilDi Maps is not your employer, dispatcher, or supervisor and does not direct your operation of any vehicle.

The Driver App is not designed or intended to be used while operating a motor vehicle. You must not interact with, configure, view, tap, or otherwise manipulate the Driver App while your vehicle is in motion. Any setup, account changes, message review, ad acknowledgement, or other interactive use of the Driver App must be done only while your vehicle is safely stopped, parked, or otherwise not being operated.

You are solely responsible for the safe operation of your vehicle at all times. WilDi Maps disclaims all liability for any injury, damage, citation, fine, arrest, or loss arising from a user's failure to operate their vehicle in compliance with applicable laws or with this section.

D5. Account Conduct

You agree to:

• Provide accurate authentication information
• Maintain the security and confidentiality of your login credentials
• Use the Driver App only on a device and account belonging to you
• Promptly notify WilDi Maps of any unauthorized access to your account

D6. Prohibited Conduct

You agree not to:

• Spoof, simulate, or otherwise falsify your location, motion, or device data
• Use emulators, GPS spoofing tools, automated scripts, or any other mechanism intended to generate fraudulent ad delivery events
• Create more than one driver account, or share an account with another person
• Reverse engineer, decompile, or interfere with the Driver App or WilDi Maps systems
• Attempt to access data belonging to other users, advertisers, or WilDi Maps
• Use the Driver App in any way that violates applicable law
• Use the Driver App to harass, defraud, surveil, or endanger any person

Violation of this section may result in immediate suspension or termination, forfeiture of unpaid earnings, and reporting to applicable authorities.

D7. Earnings & Payouts

• The Driver App may award you earnings based on verified ad delivery events. Earnings are calculated under WilDi's then-current rate schedule, which may change with notice.
• Payouts are processed by Stripe under Stripe's own terms. WilDi Maps does not collect or store your full payout credentials.
• You are solely responsible for any taxes, fees, or reporting obligations that may apply to amounts you receive. WilDi Maps does not withhold taxes on your behalf.
• Earnings are voluntary participation rewards calculated per verified delivery event. They are not wages, salary, or contractor compensation.

D8. No Guarantees

Earnings depend on real-world ad delivery activity in your area. WilDi Maps does not guarantee any minimum number of ad events, any minimum earnings, the availability of advertisers in your area, or the continuous availability of the Driver App. The Driver App is provided on an "as available" basis.

D9. Suspension & Termination

WilDi Maps may suspend or terminate your driver account at any time for:

• Violation of these Driver Terms
• Suspected fraud, location spoofing, or manipulation of ad delivery
• Harm to other users, advertisers, or WilDi Maps
• Unlawful use of the Driver App
• Any other reason at WilDi's reasonable discretion

You may stop using and uninstall the Driver App at any time. Upon termination, any earnings already verified and not yet paid out remain payable to you under WilDi's then-current payout policy, except where forfeited due to fraud or violation of these Driver Terms.

D10. Data, Location & Privacy

The Driver App collects precise location data, including background location, as described in the WilDi Maps Privacy Policy. By using the Driver App, you consent to that collection. You may revoke location permissions at any time via your device settings, but doing so may prevent the Driver App from functioning or from awarding earnings.

D11. Disclaimers

The Driver App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. WilDi Maps does not warrant that the Driver App will be uninterrupted, error-free, accurate, or secure.

WilDi Maps is not responsible for, and disclaims all liability arising from:

• Your operation of any motor vehicle
• Vehicle wear, fuel cost, maintenance, or damage
• Any traffic citation, fine, or law-enforcement action
• Any injury to you or to any third party arising from your use of the Driver App or operation of a vehicle
• Any act or omission of any advertiser, third party, or other driver

D12. Limitation of Liability

To the maximum extent permitted by law, WilDi Maps' total cumulative liability to you arising out of or relating to the Driver App or these Driver Terms shall not exceed the greater of $100 or the total earnings paid to you by WilDi Maps in the 12 months preceding the event giving rise to the claim. WilDi Maps shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

D13. Indemnification

You agree to defend, indemnify, and hold harmless WilDi Maps, Inc., its officers, directors, employees, and agents from any claim, loss, damage, or expense (including reasonable attorneys' fees) arising from:

• Your operation of any motor vehicle
• Your violation of any law, regulation, or third-party right
• Your violation of these Driver Terms
• Any spoofing, fraud, or manipulation involving your account

D14. Governing Law & Dispute Resolution

The dispute resolution, governing law, arbitration, and class-action-waiver provisions of Section 15 (above) apply equally to drivers and are incorporated into these Driver Terms by reference. All disputes between you and WilDi Maps shall be resolved by binding individual arbitration in Jacksonville, Florida, under Delaware law and the Federal Arbitration Act. Class actions, collective actions, and representative actions are expressly waived.

D15. Modification of These Terms

WilDi Maps may update these Driver Terms from time to time. Material changes will be communicated via in-app notice or email. Your continued use of the Driver App after a change becomes effective constitutes acceptance of the updated Driver Terms.
